Bullspree is the flagship brand of M/s Krazzy Fin Private Limited hereinafter referred to as (“the Company”). The Company renders research on stock exchange markets, based on the research, the company offers the users to participate in various competition and gamified events (“Event”/ “Events”) and various services (“Bullspree Services”/ “Services”) which are available on https://Bullspree.com and Bullspree Mobile Application (individually and collectively referred to as “Portal” / “Bullspree Portal” / “Bullspree Platform”). Any person (hereinafter referred to as "the User" or "you" or "your") accessing or utilizing the Bullspree Portal or any of its features including participation in Events being conducted and offered on the Bullspree Portal to the User by the Company and/or its affiliates; subsidiaries; associates and partners, shall be bound and governed by these Terms and Conditions (“T&C”) and all other rules; regulations and terms of use referred to herein or provided by the Company in relation to any Bullspree Services. These T&C read along with the Privacy Policy, disclaimers referred herein or provided by the Company from time to time, shall govern your use/access of the Bullspree Platform, its related content, sites and hyperlinks owned maintained and operated by the Company and or its affiliates; subsidiaries; associates and partners. These T&C apply to all Users of the Bullspree Portal.

The Bullspree Portal is an informational platform which aims to bring awareness among people about financial markets through stock market events and learning modules, and mock stock events. It boosts financial literacy through gamification whereby, involving considerable skill, judgement and discretion. Success arises out of Users’ exercise of superior knowledge, judgement and attention.

By proceeding to access the Bullspree Portal, register and use the Services, the User hereby confirms to have read and understood the terms hereof, and such access and use by the User is at the User’s own accord with free will and consent. The User declares that the User has not been coerced or put under any pressure or influenced in any manner whatsoever to access the Bullspree Portal, register and use the Services.

If you do not wish to adhere to our T&C or any of our future changes or modifications to our T&C, you may choose to cease the use of our Services and any and all features of our BullSpree Portal alongwith the Services we offer.

You understand that T&C will be binding on you. You agree that Services offered on the Portal can be accessed in accordance with the T&C and you shall be responsible to comply with T&C at all times. The Company shall be entitled to modify these T & C, rules, regulations and terms of use referred to herein or provided by it in relation to any Services, at any time, by duly posting the same on the Bullspree Portal. The usage of the Bullspree Portal constitutes the User's acceptance of such T & C, rules, regulations and terms of use referred to herein or provided by the Company in relation to any Bullspree Services, as may be amended from time to time. The Company may, at its sole discretion, also notify the User of any change or modification in these T & C, rules, regulations and terms of use referred to herein or provided by the Company, by way of sending an email to the User's registered email address or posting notifications in the User accounts. The User may then exercise the options provided in such an email or notification to indicate non-acceptance of the modified T & C, rules, regulations and terms of use referred to herein or provided by the Company. If such options are not exercised by the User within the time frame prescribed in the email or notification, the User will be deemed to have accepted the modified T & C, rules, regulations and terms of use referred to herein or provided by the Company.

The User’s use of the BullSpree Portal shall be subject to:
(a) These T & C;
(b) The Privacy Policy and any other terms, conditions, notices or disclaimers displayed or added to the Bullspree Portal and/or the Customer Agreement form by the Company or any other document signed by the User;
(c) The Service(s) and Bullspree Portal are provided for the User’s personal and non-commercial use only. The User agrees not to reproduce, retransmit, distribute, disseminate, sell, broadcast, perform, make available to third parties or circulate the credentials to access the Portal or any material, content through the Bullspree Portal, or to exploit any content for commercial purposes without the express prior written consent of the Company;
Certain Bullspree Services being provided on the Portal may be subject to additional rules and regulations set down in that respect. To the extent that these T&C are inconsistent with the additional conditions set down, the additional conditions shall prevail.
If any of the T&C are determined to be unlawful, invalid, void or unenforceable for any reason by any judicial or quasi-judicial body of India, it will not affect the validity and enforceability of the remaining T&C. Our failure or delay to act or exercise any right or remedy with respect to a breach of any of the T&C by you shall not be construed as waiver of our right to act with respect to the said breach or any prior, concurrent, subsequent or similar breaches.

I. Eligibility

The Event(s) are open for use only to Users residing in India, except otherwise stated hereinafter.

In the event a User indicates, while entering the User details, that he/she is either a resident of Assam, Sikkim, Nagaland, Odisha, Telangana and Andhra Pradesh (“Restricted State”), such User will not be permitted to proceed to sign up for any events in the paid version of the Event(s).

User or Users who are above the age of 18 years are eligible to use the Services to play the Events,. Access to our Services or any part thereof may be restricted by us from time to time in our sole decision. You confirm that you are eligible to use our Services and are not accessing the Services to play Events from any Restricted State or outside India.

Only those Users who have successfully registered on the Bullspree Portal as well as registered prior to each events in accordance with the procedure outlined below shall be eligible to participate in the Event(s) and win prizes.

II. Legality of Gamified events of Skill

Gamified events of Skill are legal, as they are excluded from the ambit of Indian Gaming legislations including, the Public Gambling Act of 1867. The Indian Supreme Court in its decisions given in ‘State of Andhra Pradesh v/s V.K. Satyanarayana’ (AIR 1968 SC 825) and ‘KR Lakshmanan v/s State of Tamil Nadu’ (AIR 1996 SC 1153) has held that, “a gamified events in which success depends predominantly upon the superior knowledge, training, attention, experience and adroitness of the player shall be classified as a gamified events of skill”.

III. Creating a User Account

In order to avail any of the BullSpree Services through the BullSpree Platforms, the User is required to register on the BullSpree Portal, which may involve without limitation, setting up of a profile and providing the following information:
a. Full Name
b. Email ID address.
c. Create a username
d. State of Residence in India
e. Gender
f. Date of Birth
g. Register personal mobile number
h. PAN Card details
i. Bank account details of the User
j. Details of ID issued by government authority
The User acknowledges the above information is provided voluntarily by the User. The User further acknowledges that by seeking the above information, the Company is not violating the privacy of the User. The User confirms that the Portal may use the above information for carrying out KYC of the User as well as for other purposes relate to the Portal. .
All information collected from Users, such as registration and credit card information, is subject to the Company’s Privacy Policy which is available at Bullspree Portal.
The User acknowledges that the Company, in its sole and absolute discretion may require the User to generate an One Time Password (“OTP”) and to fill in and submit the same so as to log in his/her User Account or in order to get access to the Bullspree Portal.
The User will be solely responsible to ensure confidentiality of his/her username or account with the Website. By registering, the User hereby grants consent for contacting via telephone or email based on the information furnished by the User either by us, or our Affiliates or third parties nominated in this regard for providing better services or for promotional activities related to the Bullspree Services. The User also agrees that the basic information, personally identifiable information, provided by him/her are true, complete and accurate, and agree not to submit any particulars which are false or any information to which he/she does not have any right or authority to provide. The User is solely responsible for maintaining the confidentiality and security of all activities that occur on or through User’s access of the Bullspree Platforms. In order to use and/or register through Bullspree Platforms, the User represents to be 18 (Eighteen) years of age or older.
Further, the Company may also collect from its User the information regarding their employment, profession or status of vocation etc.

IV. Registration for Event(s)

Users are required to accurately provide the following information
a. Full Name;
b. Mobile number;
c. OTP, as provided to the User sent on his/ her registered mobile.
Participants are also required to confirm that they have read and shall abide by T&C.
If a User chooses a username that, Bullspree considers in his opinion that is obscene, indecent, abusive or that might subject Bullspree to public disparagement or scorn, or a name which is an official team/franchise names and/or name of any celebrity, as the case may be, Bullspree reserves the right, without prior notice to the User, to restrict usage of such names, which in Bullspree’s opinion fall within any of the said categories and/or change such username and intimate the User or delete such username and deny such User to access the Portal.
By Participating in Event(s), each User acknowledges and agrees that he/she is participating in a gamified events of skill.
The Portal has an in-app closed wallet, wherein a User can deposit real money if required to participate in the Events(s) and can only withdraw his winnings from the wallet beyond a specific threshold.

V. Event(s)

The Event(s) offered to the User are sectoral based, e.g. Auto Giants, Pharma Kings, FMCG warriors etc.. Under the Event(s), the User is required to make the following selection in the below stated sequence:
a. Select sectors for the Events;
b. Select a team of 10 stocks (4 large cap, 3 Mid cap, 3 Small cap) out of the pool of 50-60 stocks listed in the event(s) and individually select “Play Bullish” or “Play Bearish” for each such stock as selected by the User;
c. Select MM (market mover) and TG (top gainer). This gives the User leverage to Win 2x points and 1.5x points for MM and TG respectively.
After having made the above selection, the User is required to confirm his participation in the event(s) by paying a joining fee (the User can choose the bonus/deposit/rewards money option) and waits for the Learning gamified events to begin.
The User is given the option of being exposed to different sets of Learn contents with varying joining fees ranging from Rs. 2/- to Rs. 1,00,000/- against which the User is given the respective rewards potential.
In order to provide the User with better stock market understanding and knowledge, the Portal incorporates certain informative videos. Robust analytics coverage would be provided to a User to make better choice in stock selection via information provided at stock level from our third party Application Programming Interface wherein information about a particular stock will be visible to the User.
The Events as offered in the Portal are 1 hour, 3 hours, 6 hours, weekly-based and monthly-based event(s). The User can track the performance in the live leader board section once the event gets started. No sooner the Event ends, the User is free to collect the rewards of his/her winning. Transfer of withdrawal money in User’s bank account might take 48-72 hours.
The User’s performance is evaluated basis percentage increase in stock price in actual stock market by using the following formula:
(Event End time price of the Stock – The opening price of Stock) x
100
(The opening price of the Stock)
Points are awarded to the User based on the basis of formula. In bullish Event, higher points are scored by the User if the percentage change is higher. In bearish event, if the stocks are going up, User gets negative points. The person who captures maximum points in the Event is adjudged as the winner.
The Bullspree Portal charges a commission ranging from 10% - 30% of the total pot size of the event, i.e. total joining fee of the number of players participating in a Learn content. The Portal also provides the User with a signup bonus and a referral bonus.

Apart from the aforesaid, Bullspree, at its discretion may introduce other Events, including Portfolio based gaming Events and other gaming formats, in which success and winnings of the User may depend on their skill and performance.

VI. User Conduct

By participating in the Event(s), each User acknowledges and agrees that he/she is participating in a gamified events of skill.
After you have registered on our Portal, it is your sole responsibility to make sure that you do not disclose the OTP sent to your registered mobile number from Bullspree Portal to anybody, be it your friends, family members, third party, or anybody whatsoever, then enter the OTP on the Bullspree Portal.. We shall not be responsible if your User account is logged in to or accessed by anybody else by using your OTP.
By registering as a User, the User hereby grants consent for contacting via telephone/ Email ID based on the information furnished by the User either by us, or our Affiliates or third parties nominated in this regard for providing better services or for promotional activities related the Bullspree Services. The User is solely responsible for maintaining the confidentiality and security of all activities that occur on or through the User’s access of the Bullspree Portal.
All Information collected form Users, such as registration and credit card information, is subject to the Company’s Privacy Policy.
Users agree not to copy, modify, rent, lease, loan, sell, assign, distribute, reverse engineer, grant a security interest in, or otherwise transfer any right to the technology or software underlying the Portal or Services.
Users agree that without Portal’s express written consent, they shall not modify or cause to be modified any files or software that are part of Portal Services.
User agrees to provide true, accurate, current and complete information at the time of registration and at all other times (as required by the Company, through any means).
User further agrees to update their registered information at all times.
A User shall not agree to register or operate more than one User account for accessing the Portal or accessing the Services.
By the use of Services, the User confirms that such use is neither in furtherance of any criminal act nor has the User sourced the payment made to the Portal out of proceeds of any crime. The User confirms that access of the Portal and use of the Services by the User does not result in violation of any extant laws, including but not limited to laws and regulations relating to Securities and Exchange Board of India. The User confirms that if by use of the Services by the User, the User violates any extant laws or that such use results in violation of any of the extant laws by the User, including but not limited to laws and regulations relating to Securities and Exchange Board of India, the Company or any of its officers, its employees, promoters, etc. shall neither be responsible nor liable for such violation by the Users. Users agree to indemnify and hold harmless the Company, its directors, employees, affiliates and assigns against all costs, damages, loss and harm including towards litigation costs and counsel fees, which may arise as a consequence of such violation.
User agree not to institute, assist or become involved in any type of attack, including without limitation to distribution of a virus, denial of service, or other attempts to disrupt Portal and Services or any other person’s use or enjoyment of Services.
Users consent to receive communications such as announcements, administrative messages and advertisements from the Company and/or of its affiliates, subsidiaries, associates, licensors and partners. User agrees that they can receive all communications from the Company or Portals by marking emails or sending personal messages (“SMS”) on their registered mobile no. from the Company and the Portal as part of their “safe senders” list. The Company shall not be held liable if any Emails/ SMS remain unread by a User as a result of such Email getting delivered to the User’s junk or spam folder.
The User shall continue to logged into the Portals till the time User voluntarily exits/ or logout of the account or by the Company as it deems fit in its sole and absolute discretion. The Company though recommends its Users to exit/ logout of the accounts at the end of every session. The Company shall not be responsible for any loss or damages that may result if the User fails to comply with the requirements.
User agrees not to use cheats, exploits, automation, software, bots, hacks or any device, contraption, contrivance or any unauthorized third party software or designed to modify or interfere with Services and/or the experience of the User or assist in such activity.
User shall not publish any content that is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person.
Without limiting the foregoing, Users agree not to use Portal for any of the following:
a. To engage in any obscene, offensive, indecent, racial, communal, anti-national, objectionable, defamatory or abusive action or communication;
b. To harass, stalk, threaten, or otherwise violate any legal rights of other individuals;
c. To publish, post, upload, E-mail, distribute, or disseminate (collectively, “Transmit”) any inappropriate, profane, defamatory, infringing, obscene indecent, or unlawful content;
d. To transmit files that contain viruses, corrupted files, or any other similar software or programs that may damage or adversely affect the operation of another User’s computer or mobile, Portal, any software, hardware, or telecommunications equipment;
e. To advertise, offer or sell any goods or services for any commercial purpose on Portal without express written consent of BullSpree;
f. To download any file, recompile or disassemble or otherwise affect our products that you know or reasonably should know cannot be legally obtained in such manner;
g. To falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or the source of software or other material;
h. To restrict or inhibit any other User from using and enjoying any public area within our sites;
i. To collect or store personal information about other Users;
j. To interfere with or disrupt Portal, servers or networks;
k. To impersonate any person or entity, including, but not limited to, a representative of Portal, or falsely state or otherwise misrepresent User’s affiliation with a person or entity;
l. To forge headers or manipulate identifiers or other data in order to disguise the origin of any content transmitted through Portal or to manipulate User’s presence on Portal;
m. To take any action that imposes an unreasonably or disproportionately large load on our infrastructure;
n. To engage in any illegal activities. You agree to use our bulletin board services, chat areas, news groups, forums, communities and/or message or communication facilities (collectively, the “Forums”) only to send and receive messages and material that are proper and related to that particular Forum.
o. To use the Services in violation of any extant laws, including but not limited to laws and regulations relating to Securities and Exchange Board of India.
p. To pay to the Portal proceeds of any crime.
q. To engage in any action that threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign States, or public order or causes incitement to the commission of any cognizable offence or prevent investigation of any offence or is insulting other nation.
Unauthorized access to Portal is a breach of these T&C, and a violation of the law. Users agree not to access Portal by any means other than through the interface that is provided by Portal for use in accessing the Services. Users agree not to use any automated means, including, without limitation, agents, robots, scripts, or spiders, to access, monitor, or copy any part of our sites except those automated means that BullSpree has approved in advance.
Use of Portal is subject to existing laws of India and legal processes. Nothing contained in these T&C shall limit BullSpree’s right to comply with governmental, court, and law-enforcement requests or requirements relating to Users’ use of Portal and Services.

VII. Payment Terms

In respect of any transaction entered into on the Portal, including making a Learning to participate in the paid version of Event(s), Users agree to be bound by the following Learning terms:
a. The Portal reserves the right to charge a joining fee, which would be specified and notified by Bullspree on the Event page, being provided by the Portal, prior to User’s joining of such Events. The Joining fee will be debited from User’s in-app closed wallet.
b. All Cash Bonus credited in the User account shall be valid for 14 days from the date of credit. The unutilized Cash Bonus shall expire at the end of 14 days from the date of credit.
c.Users agree that once they confirm a transaction on Portal, they shall be bound by and make payment for that transaction.
d. A transaction once confirmed is final and no cancellation is permissible. Bullspree may, in certain exceptional circumstances and at its sole and absolute discretion, refund the amount to the User after deducting applicable cancellation charges and taxes. At the time of the transaction, Users may also be required to take note of certain additional terms and conditions and such additional terms and conditions shall also govern the transaction.
e. Users shall not use the proceeds of any crime for making Learning to the Portal.

VIII. Breach and Consequences by a User

The User hereby agrees to abide by these T&C and all other rules, regulations and terms of use of the Portal and Services. In the event User does not abide by these T&C and all other rules, regulations and terms of use, the , the Company may at its sole and absolute discretion take necessary remedial action including but not limited to:
a. Restrict, suspend, or terminate any User’s access to all or any part of the Portal and/or Services.
b. Change, suspend, or discontinue all or any part of the Portal and/or Services.
c. Reject, move, or remove any material that may be submitted by a User.
d. Move or remove any content that is available on Portal.
e. Deactivate or delete a User’s account and all related information and files on the respective account.
f. Establish codes or give directions as to general practices and limits concerning use of Portal.
g. Refrain from awarding any prize(s) to a User.
h. Offer discounts to all or any of its Users in the form or forms it deems fit .
i. All such discounts shall be credited in a separate account..
j. Revise or make additions and/or deletions to the roster of stocks available for selection in a Contest on account of revisions to the roster of stocks listed at a particular stock exchange.
k. Assign its rights and liabilities to all User accounts hereunder to any entity (post such assignment intimation of such assignment shall be sent to all Users to their registered email ids).

In the event any User breaches, or the Company reasonably believes that such User has breached these T&C, or has illegally or improperly used BullSpree Platforms or BullSpree Services, the Company may, at its sole and absolute discretion, and without any notice to the User, restrict, suspend or terminate such User's access to all or any part of BullSpree Services or the BullSpree Platforms, deactivate or delete the User's account and all related information on the account, delete any content posted by the User on BullSpree Platforms and further, take technical and legal steps as it deems necessary.

The Company has a sole and absolute power to revoke its decision, without any prior notice to any User. Any decision which allows such a User to have access to the Portal and Services shall be revoked if the Company comes to know or has a reasonable belief that the User has given any false or untrue information to the Company or violated any of the T&C.

Provided that transfer of any amount appearing to the credit of the User’s Winning Account or the Bullspree Incentive Account, in the event of deactivation or deletion of the User’s account with the Company shall be at sole and absolute discretion of the Company and the same shall be unLearn contentable before any Court of Law or Authority. If in any case User indicates or the Company comes to know or the Company reasonably believes that:
a. particular User is in possession of or access to any information irrespective of its means, relating to any company or its securities, directly or indirectly which is not available in the general course with the public at large and upon being disseminated, such an information may have material effect on the price, price movement or performance of the scrip of that company or;
b. Such a User is or has been associated to any listed company, directly or indirectly, or is or has been connected to such company in a contractual, fiduciary or employment relationship or is or was a director, officer or an employee of the company or holds or held any position including that relationship in the nature of being a professional or business relationship between the User and the company irrespective of it being temporary or permanent, that allows such User to access or possess, whether directly or indirectly, to any information as defined above or if such a User is reasonably expected to have been allowed such access to such information.

The Company in these cases shall, in its sole and absolute discretion, have the prerogative to decide as to whether to allow such a User to have access to the Portal and Services or not. If the Company charges its Users a Platforms fee in respect of any Bullspree Services, the Company shall, without delay, repay such Platforms fee in the event of suspension or removal of the User's account or suspension of Bullspree Services on account of any negligence or deficiency on the part of the Company, but not if such suspension or removal of User's account or suspension of Bullspree Services is affected due to:
a. Any breach or non-performance or inadequate performance by the User of any of these T&C; or
b. Any circumstances beyond the reasonable control of the Company.
c. Any order or directions passed by any statutory authority and /or judicial/ quasi- judicial authority.

Users consent to receiving communications such as announcements, administrative messages and advertisements from the Company and/or any of its affiliates, subsidiaries, associates, licensors and partners.

IX. Governing Law, Dispute Resolution and Jurisdiction

The agreement in our T&C, shall be followed, governed and interpreted and construed in accordance with the laws of the Republic of India. The courts of competent jurisdiction at New Delhi shall have exclusive jurisdiction to determine any and all disputes/differences/quarrels arising out of, or in connection with the Portal and Services and shall be subject to Arbitration under the law of Arbitration and Conciliation Act, 1996, as amended from time to time.

All arbitration proceedings shall be conducted in English.

The arbitral award will be final and binding on the parties, and each party will bear its own costs of arbitration and equally share the fees of the arbitrator unless the arbitral tribunal decides otherwise. The arbitrator shall be entitled to pass interim order and awards, including the orders for specific performance and such orders would be enforceable in competent courts.

X. Third Party Sites

The Portal may contain links to other Internet Websites owned and operated by third parties. Users’ use of each of those sites is subject to the conditions, if any, posted by the sites. The Company does not exercise control over any Internet sites apart from Portal and cannot be held responsible for any content residing in any third-party Internet site. The inclusion of third-party contents or links to third-party Internet Websites at Portal is not an act of endorsement by the Company of any such third-party Internet Website.

Users’ correspondence, transactions/ offers or related activities with third parties, payment providers and verification service providers, are solely between the User and that respective third party. Users’ correspondence, transactions and usage of the services/ offers of such third party shall be subject to the T&C, policies and other service terms adopted/implemented by such third party, and the User shall solely be responsible for reviewing the same prior to transacting or availing of the services/offers of such third party. User agrees that the Company will not be responsible or liable for any loss of any sort incurred as a result of any such transactions/offers with third parties. Any questions, complaints, or claims related to any third party product or service should be directed to the appropriate vendor/ third party. The Bullspree Platforms contain content that is created by the Company as well as content provided by third parties. The Company does not guarantee the accuracy, integrity, quality of the content provided by third parties and such content may not be relied upon by the Users in utilizing the Bullspree Services provided on Bullspree Platforms including while participating in any of the Learn contents hosted on Bullspree Platforms.

XI. Intellectual Property

The Company, Portal and Services includes a combination of content created by the Company, its partners, affiliates, licensors, associates and/or Users. All the Intellectual Property Rights in all design, text, graphics, application software, underlaying source code in relation to Services. Portal and material published by the Company, including Events, software, advertisements, written contents, photographs, graphics, images, illustrations, marks, logos, audio or video clipping and Flash animations, is owned by the Company, its partners, licensors/or associates. Users shall not modify, publish, transmit, participate in any manner, in the transfer or sale of, reproduce, create derivative works of, distribute, publicly perform, publicly display, or in any way exploit any of the materials or content on Portals either in whole or in part without express written license from the Company.

User may request permission to use any of the above-mentioned content by writing to the Company.

Users are solely responsible for all materials (whether publicly posted or privately transmitted) that they upload, post, e-mail, transmit, or otherwise make available on the Bullspree Platforms (hereinafter referred to as "Users' Content"). Each User represents and warrants that he/she owns all Intellectual Property Rights in the User's Content and that no part of the User's Content infringes any third-party rights. Users further confirm and undertake to not display or use the names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights of any third party on Bullspree Platforms or for Bullspree Services. Users agree to indemnify and hold harmless the Company, its directors, employees, affiliates and assigns against all costs, damages, loss and harm including towards litigation costs and counsel fees, in respect of any third party claims that may be initiated including for infringement of Intellectual Property Rights arising out of such display or use of the names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights on Bullspree Platforms or for Bullspree Services, by such User or through the User's commissions or omissions.

The User hereby grant to the Company and its affiliates, partners, licensors and associates a worldwide, irrevocable, royalty-free, non-exclusive, sub-licensable license to use, reproduce, create derivative works of, distribute, publicly perform, publicly display, transfer, transmit, and/or publish Users' Content for any of the following purposes :
a. Displaying Users' Content on Bullspree Platforms;
b. Distributing Users' Content, either electronically or via other media, to other Users seeking to download or otherwise acquire it;
c. Storing Users' Content in a remote database accessible by end users, for a charge; and /or
d. This license shall apply to the distribution and the storage of Users' Content in any form, medium, or technology. All names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights on the Company belonging to any person (including User), entity or third party are recognized as proprietary to the respective owners and any claims, controversy or issues against these names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights must be directly addressed to the respective parties under notice to the Company.

XII. Verification of Winners and Conditions relating to the Prizes

(A) Contracting Winners:

Winners shall be contacted by Bullspree or the third party conducting the Event(s) on the E-mail address provided at the time of registration. The verification process and the documents required for the collection of prize shall be detailed to the Winners at this stage. As a general practice, winners will be required to provide following documents:
∙€€€€€€Copy of the User’s PAN card;
∙€€€€€€Copy of a government-issued residence proof;
∙€€€€€€Bank account details of the registered User;
Bullspree shall not permit a Winner to withdraw his/her prize(s) unless the above-mentioned documents have been received and verified within the time-period stipulated by Bullspree. The User represents and warrants that the documents provided during the verification process are true copies of the original documents to which they relate.
Participants are required to provide proper and complete details at the time of registration. Bullspree shall not be responsible for communication errors, commissions or omissions including those of the Participants due to which the results may not be communicated to the winner.
The list of the winners shall be posted on a separate web-page on the Portal. The winners will also be intimated by E-mail address or by personally calling them on their registered mobile number.
In the event that a Participant has been declared a winner on the Portal but has not received any communication from Bullspree. Such Participant may contact Bullspree within the time specified on the Portal.

(B) Verification Process:

Only those Winners who successfully complete the verification process and provide the required documents within the time limit specified by Bullspree shall be permitted to withdraw/receive their winnings (or any part thereof). Bullspree shall not entertain any claims or requests for extension of time for submission of documents.

Bullspree shall scrutinize all documents submitted and may, at is sole and absolute discretion, disqualify any winner from withdrawing his accumulated winnings (or any part thereof) or claiming the prize including but not limited to the occurrence of the following event(s):
∙€€€€€€That any document submitted by any participant is incorrect, misleading, false, fabricated, incomplete or illegible; or
∙€€€€€€Participant does not fulfill the Eligibility Criteria specified in Section I above, or
∙€€€€€€Non-payment of TDS
∙€€€€€€The User fails to provide his/ her bank account details

(C) Taxes Payable:

All prizes shall be subject of tax (“TDS”) as per the Income Tax Act 1961, The TDS rate prescribed by the Government of India with respect to any prize money amount is 30%. TDS of 30% shall be deducted on Net winnings. In case of any revisions by the Government of India to the aforementioned rate in the future, TDS will be deducted by Bullspree in accordance with the then current prescribed TDS rate. Winners will be provided TDS certificates in respect of such tax deductions. The Winners shall be responsible for payment of any other applicable taxes, including but not limited to, income tax, gift tax, etc. in respect of the prize money.

(D) Miscellaneous:

The decision of Bullspree with respect to the awarding of prizes shall be final, binding and non-Learn contentable.
Bullspree may at its sole and absolute discretion, vary or modify the prizes being offered to winners, participants shall not raise any claim against Bullspree or question its right to modify such prizes being offered, prior to closure of the Event(s).
Bullspree will not bear any responsibility for the transportation or packaging of prizes to the respective winners. Bullspree shall not be held liable for any loss or damage caused to any prizes at the time of such transportation.
The Winners shall bear the shipping, courier or any other delivery cost in respect of the prizes.
The Winner shall bear all transaction charges levied for delivery of cash prizes.
All prizes are non-transferable and non-refundable, Prizes cannot be exchanges/ redeemed for cash or kind. No cash claims can be made in lieu of prizes in kind.
Acceptance of a prize by the Winner constitutes permission for Bullspree, and its affiliates to use the Winner’s name, likeness, voice and comments for advertising and promotional purposes in any media worldwide for purposes of advertising and trade without any further permissions or consents and/or additional compensation whatsoever.
The Winners further undertake that they will be available for promotional purposes as planned and desired by Bullspree without any charge. The exact dates remain the sole discretion of Bullspree. Promotional activities may include but not be limited to press events, internal meetings and ceremonies/functions.

XIV. Release and Limitation of Liability

Users shall access the Portal and Services voluntarily and at their own risk. Bullspree shall, under no circumstances be held responsible or liable on account of any loss or damage sustained (including but not limited to any accident, injury, death, loss of property) by Users or any other person or entity during the course of access to the Portal and Services [including participation in the Event(s)] or as a result of acceptance of any prize.

Bullspree accepts no liability, whether jointly or severally, for any errors or omissions, whether on behalf of itself or third parties in relation to the prizes.

Users shall indemnify, defend and hold Bullspree harmless from any third party/entity/organization claims arising from or related to such User’s engagement with the Bullspree or participation in any Event(s). In no event shall Bullspree be liable to any User for acts or omissions arising out of or related to User’s engagement with the Portal and Services or his/her participation in any Event(s).

XV. Standard T&C of Promotions

These standard terms and conditions of promotions (hereinafter referred to as “Standard Terms”) supplement the terms of promotions undertaken on the Bullspree Platforms and which reference these Standard Terms (each a “Promotion”). Participation in any Promotion will be subject to a User complying with the Promotion T&C implemented by the Company in respect of such Promotion (“Promotion Terms”) and these Standard Terms. By participating in any Promotion, the User further consents to and agrees to adhere with the T&C of the Event(s) and the Company’s Privacy Policy.

The Promotions can only open to Users in India. Participation in the Promotions by proxy is not permitted. Participation in the Promotions is not voluntary.

Participation in one Promotion does not guarantee that such User will be eligible to participate in another Promotion.

A User may participate in a Promotion and avail of each Promotion only through one account. An existing User of Bullspree Platforms and/or Bullspree Services shall not register a new account or operate more than one user account at the Bullspree Platforms or participate in a Promotion by registering a new account.

A User intending to participate in a Promotion may be required to verify their mobile no. and other account details in accordance with the Promotion Terms for such Promotion.

Persons intending to participate in a Promotion, who have listed their phone numbers on the National Do Not Call Registry (hereinafter referred to as “NDNC Registry”), shall de-register themselves from the NDNC Registry till the completion of such Promotion (including the delivery of Bonus Amount (if any) or the free-entry (if any) under such Promotion). Such persons agree not to make any claim or raise any complaint whatsoever against the Company in this respect. Please note that persons intending to participate in a Promotion who have not de-registered themselves from the NDNC Registry shall also have no right to make any claim or raise any complaints against the Company if they do or do not receive any call or SMS with respect to their participation and all other matters pertaining to a Promotion.

The Verification process may require the User to submit personal information. The User agrees to receive communication from the Company. Any information collected in respect of User’s identity and contact details as part of a Promotion or otherwise in the course of the User’s access of the Portal shall be subject to the Company’s Privacy Policy, which is available at Bullspree Portal.

The Company may at its sole and absolute discretion, disqualify any User from a Promotion if such User engages in or it is found that such User has engaged in any illegal, unlawful or improper conduct. The Bonus Amount (if any) deposited into the User’s Account can be used to join cash Events and Events on Portal. However, the Bonus Amount (if any) cannot be
(i) used to join 2-member Learn contents; or
(ii) withdrawn or transferred to any other cash balance account held by you with the Company or to any third-party account or to any bank/payment instrument account. THE BONUS AMOUNT (IF ANY) SHALL EXPIRE AND BE WITHOUT EFFECT AT THE END OF FORTY FIVE DAYS FROM THE DATE OF CREDIT OF THE BONUS AMOUNT (IF ANY). The deposit of the Bonus Amount (if applicable) or the grant of the free-entry (if any) shall be at the sole discretion of the Company and shall be subject to the User’s compliance with these Standard Terms and the applicable Promotion Terms. The Company may substitute or change the Bonus Amount (if any) or free-entry (if any) offered under a Promotion at any time without notice. Users may not substitute Bonus Amount (if any) or free-entry (if any) for other items or exchange for cash. The Company reserves the right to withhold or forfeit the benefits of a Promotion (including a free-entry or Bonus Amount due to a participant or any prizes/winnings earned by the participant by using such benefits) in the event that it determines or reasonably believes that the participating User has violated these Standard Terms, the applicable Promotion Terms or the terms and conditions of the Learn content(s) and/or the gamified events. Mere participation in a Promotion does not entitle the participant to receive any free-entry or Bonus Amount(s) indicated as a prize under such Promotion.

The Deposit of the Bonus Amount (if applicable) or the grant of free-entry (if any) shall be at the sole discretion of the Company and shall be subject to the User’s compliance with these Standard Terms and the applicable Promotion Terms. The Company may substitute or change the Bonus Amount (if any) or free-entry (if any) offered under a Promotion at any time without notice. The Company reserves the right to withhold or forfeit the benefits of a Promotion (including a free-entry or Bonus amount due to a participant or any prizes/winning earned by the User by using such benefits) in the event that it determines or reasonable believes that the participating User has violated these Standard terms, the applicable Promotion Terms or T&C of the Event(s) and/or the gamified events. Mere Participation in a Promotion does not entitle the User to receive any free-entry or Bonus Amount(s) indicated as a prize under such Promotion.

The decision of the Company will be final and binding with respect to the Promotions and the prizes therein and no correspondence, objection, complaints, etc. will be entertained in this regard.

The Terms and Conditions, as applicable to the Bullspree Services and the specific Learn content(s), will apply to and govern each Promotion.

Each Promotion cannot be clubbed with any other Learn content/offer/promotion that is running simultaneously and organized or conducted by the Company. The Company reserves the right to change/modify/or withdraw any of the Promotions and/or change these Standard Terms and/or the Promotion Terms without any prior notice of the same at its sole discretion. The Company does not make any commitment, express or implied, to respond to any feedback, suggestion and, or, queries of the participants of the Promotions.

Notwithstanding anything contained herein, the aggregate liability of the Company to a participating User in relation to any Promotion for any reason whatsoever shall not exceed Rs. 50/-. The Promotions shall be governed by the laws of India and any disputes or disagreements in respect of this Promotion shall be subject to the exclusive jurisdiction of the courts at New Delhi.

XVI. Standard T&C of “Invite Friends” Program

The Bullspree Invite Friends Program (hereinafter referred to as "Program") lets the User to refer the Bullspree Services and invite other individual or friend of the User (hereinafter referred to as “Referred User”) to join the Bullspree Platform in order to avail the Bullspree Services. In the event that the User and the Referred User meet the criteria and complete all the steps specified in these terms, such User and the Referred User can earn a Cash Bonus from the Company of upto Rs. 10,000 (hereinafter referred to as "Bonus Amount"), which will be redeemable to join the Paid Learn contents through the Bullspree Mobile Application (hereinafter referred to as "Bullspree Mobile Application" for this part). In order to participate in the Program, please note that the User’s participation in the Program will be governed by the T&C. Eligibility of User for Program – All Users who:

I. have an account registered with and at Bullspree Platform which account has been verified by the Company; and

II. are eligible to participate in the Paid Version of the Learn content(s) of Bullspree Stock Market Learn content(s) as per the Company’s Terms and Conditions; and

III. have downloaded and installed the Bullspree Mobile Application available on IOS/ Android / Bullspree Portal on their respective mobile devices, will be eligible to participate in the Program. The User can download the Mobile Application by scanning the QR Code which is exhibited/ displayed on Bullspree Portal.

Participation in the Program by or through a proxy is not permitted. Participation in the Program is voluntary. A User shall not register or operate more than one User account with Bullspree Platform and shall not participate in the Program with more than one User account with Bullspree Platform.

The Program's opening and closing date will be announced on Bullspree's Mobile Application (If there is any change). Through the Bullspree Mobile Application, the User will be provided with a unique link or code, which can be shared by the User (hereinafter referred to as “Inviter”) with Referred User (hereinafter referred to as “Invitee”) for the purpose of to create and register an account with and on Bullspree Platforms and download the Bullspree Mobile Application. On receiving the link or code from the Inviter, the Invitee may either: (i) Click on the link, consequent to which such Invitee will be directed to download and install the Bullspree Mobile Application on his/her device and register a User account on the Bullspree Mobile Application; or (ii) download and install the Bullspree Mobile Application on his/her device independently, register for a User account through the Bullspree Mobile Application and enter the unique code shared by the Inviter where prompted in the Bullspree Mobile Application.

The Inviter and the Invitee will be eligible to earn the Bonus Amount subject to (amongst other terms specified in these Terms):

(i) the Invitee not being an existing User of Bullspree Services or Bullspree Platform; and

(ii) the Inviter and Invitee being eligible to participate in the Paid Version of the Learn content(s); and

(iii) the Invitee successfully registering for an account on the Portal through the unique link or by using the unique code shared by the Inviter; and

(iv) the Inviter and Invitee agreeing to the license agreement for the Bullspree Mobile Application and downloading and installing the Bullspree Mobile Application as available for the Inviter’s and Invitee’s respective mobile devices; and

(v) the Inviter and Invitee verifying the Inviter’s and the Invitee’s respective mobile number as provided at the time of registration within thirty (30) days from the date on which Invitee registers for an account with the Bullspree Platform (hereinafter referred to as "Verification Period"). For the purposes of these Terms, an 'existing User of Bullspree Platform and Bullspree Services ' shall mean a User who presently operates an account with the Platform or operated an account with the Platform at any point of time.

An Invitee who is an existing User of the Bullspree Platform and Bullspree Services is not permitted to register a new account with the Bullspree Platform for the purpose of availing of the Bonus Amount. The Company, in its sole discretion will determine as to whether an Invitee is an existing User of Bullspree Platform and Bullspree Services or not and take appropriate action.

The verification process may require an Inviter/Invitee to submit personal information about the User (Inviter/Invitee) and documents identifying the Inviter/Invitee. The Inviter agrees to receive communication from the Company and to allow the Company to communicate with Invitees referred by such Inviter about the Invitee's participation in the Program. Any information collected in respect of the Inviter/Invitee as part of the Program or otherwise in the course of such person's use of the Bullspree Platforms shall be subject to the Company's Privacy Policy. The verification of an Inviter/Invitee shall be completed at the time of first withdrawal by the Inviter/Invitee from the Inviter’s/Invitee's “Winnings'' account with the Bullspree Platforms. An Inviter/Invitee may voluntarily seek verification of the Inviter/Invitee by clicking on the 'Verify Now' tab of the Account Balance page of the Inviter/Invitee's account with the Platform.

The Invitee will be eligible to earn a Bonus of Rs.100 or such other amount as may be determined by the Company at its discretion (hereinafter referred to as “Invitee Bonus”) upon successful verification of the Invitee’s mobile number.

Provided that the Invitee completes the step mentioned in a) above within the Verification Period, the applicable Invitee Bonus shall be credited to the Invitee's Cash Bonus Account with the Bullspree Platform, within fifteen (15) days of completion of successful verification of the Invitee’s mobile number. In the event that the Invitee fails to verify the Invitee's mobile number within the Verification Period or omits to provide documents requested for such verification, the Invitee shall not receive the applicable Invitee Bonus specified above due to the Invitee for completing such verification process.

In order for an Inviter to be eligible to earn the Bonus Amount due to him/her (hereinafter referred to as "Inviter Bonus"), the Inviter must also download and install the Bullspree Mobile Application on his/her mobile device and verify his/her mobile number and email address prior to the completion of the Verification Period.

The credit of the Inviter Bonus is contingent on the Invitee's participation in Learn content(s) on the Bullspree Platform. The Inviters bonus is subject to a maximum of Rs. 1000.

Subject to the above provisions, the applicable Inviter Bonus earned by the Inviter shall be credited to the Inviter's Cash Bonus Account within fifteen (15) days of the completion of the relevant step verification process, as the case may be. In the event that the Inviter fails to complete any of the verification steps within the Verification Period or omits to provide documents requested for such verification, the Inviter shall not be eligible to earn the applicable Inviter Bonus.

The Bonus Amounts credited to the Inviter/Invitee can be used by the Inviter/Invitee to participate in the Paid Learn content(s) offered by the Company through the Bullspree Platform. No part of the Bonus Amount can be withdrawn or transferred to any other cash balance account held by the Inviter/Invitee with the Company or to any third-party account or to any bank/payment instrument account. THE BONUS AMOUNT SHALL EXPIRE AND BE WITHOUT EFFECT AT THE END OF FOURTEEN DAYS FROM THE DATE OF CREDIT OF THE BONUS AMOUNT.

The deposit of the Bonus Amount shall be at the sole discretion of the Company and shall be subject to the Inviter’s/Invitee’s compliance with these Terms. The Company may substitute or change the Bonus Amount offered under the Program at any time without notice. An Inviter/Invitee may not substitute the amount of Bonus Amount or substitute offering for other items or exchange for cash. The Company reserves the right to:
(i) withhold the deposit of the Bonus Amount; and/or
(ii) forfeit any deposited Bonus Amount to an Inviter/Invitee or any prizes/winnings earned by the Participant by using such Bonus Amount; and/or
(iii) deactivate the accounts of the Inviter/Invitee, in the event that it determines or reasonably believes that such Inviter/Invitee has violated these Terms or the terms and conditions of the Bullspree gamified events.

Mere participation in the Program does not entitle the Inviter/Invitee to receive any Bonus Amount. The Company may, at its sole and absolute discretion, disqualify any Inviter/Invitee if such Inviter/Invitee engages in or it is found that such Inviter/Invitee has engaged in any illegal, unlawful or improper conduct (with regard to the Program or otherwise). The decision of the Company will be final and binding with regard to the Program, and the deposit of the Bonus Amount and no correspondence, objection, complaints, etc. will be entertained in this regard.
This Program cannot be clubbed with any other Learn content(s)/promotions/programs that are running simultaneously and organized or conducted by the Company. Notwithstanding anything contained herein, the aggregate liability of the Company to a participating User in relation to any Program for any reason whatsoever shall not exceed Rs. 10,000/-. The Program shall be governed by the laws of India and any disputes or disagreements in respect of this Promotion shall be subject to the exclusive jurisdiction of the courts at New Delhi.

XVII. Complaints, Grievances & Disputes

If you have any complaint or concern, you should in the first instance contact the customer support team at contact@Bullspree.com, as the case may be or write to us following the procedure given in the respective “Contact us” section on the Portal. Complaints should be made as soon as possible after circumstance(s) arise.
In your complaint or grievance, please include the following information:

a. Your name and contact details: name, address, contact number and email address
b. Your relation to the subject matter of the complaint, i.e. complainant or person acting on behalf of an affected person.
c. The name and age of the person aggrieved or affected by the subject matter of the complaint, in any case you are acting on behalf of such person and a statement, under penalty of perjury, that you are authorized to act on behalf of such person to provide such person’s personal information to us in relation to the complaint/grievance.
d. Description of the complaint or grievance with clear identification of the User Content in relation to which such complaint or grievance is made.
e. Statement provided by the User in the complaint or grievance must be accurate.

All the complaints and disputes arising out of any matter will remain confidential and shall not be disclosed to any third party.
Bullspree shall make all efforts to try and resolve the complaints and disputes within a reasonable time.
Our decision shall be final and binding on you.
